B2B Portal Terms and Conditions

Explorify LLC | Version 1.0 | Last updated: 7 November 2026

These terms apply to every account on the Explorify portal, whether it is used on the website, on the portal at b2b.byexplorify.com, or in the Explorify app for iPhone or Android. Please read them before you open an account or load money into your portal balance.

1. Who we are and who these terms apply to

1.1 The portal is provided by Explorify LLC, a limited liability company formed in the State of New York, USA, with its office at 954 Lexington Ave. #1062, New York, NY 10021, USA ("Explorify", "we", "us").

1.2 These terms apply to the person or company that holds a portal account (the "Account Holder", "you"). There are two types of account:

Individual account: opened by a person aged 18 or over who books travel for themselves and the people travelling with them.

Company account: opened by a registered business, such as a travel agency, tour operator or corporate client, that books travel for its own customers or staff.

1.3 Your contract is always with Explorify LLC. No other company signs or is responsible under these terms.

1.4 These terms form one agreement together with your signed Portal Agreement, the Booking Terms and Conditions shown when you book, and our Portal and App Privacy Policy. If they conflict, the Portal Agreement comes first, then these terms, then the Booking Terms.

1.5 You accept these terms by signing the Portal Agreement and by ticking the acceptance box when you first log in to the portal or the app.

2. Previous agreements

2.1 If you previously had an agreement with any other company that used the Explorify name, that agreement has ended. From the date you accept these terms, these terms and your Portal Agreement are the only agreement between you and Explorify for the use of the portal.

2.2 Explorify LLC (New York) was not a party to any previous agreement and does not take over any right, obligation, balance or claim under it, except what is expressly listed in your Portal Agreement.

2.3 No credit support, cash withdrawal service, currency exchange service, bonus or promotional credit from any previous agreement continues under these terms.

3. Opening your account

3.1 To open an account you must sign the Portal Agreement and give us the information we ask for to confirm your identity. For an individual account this is a valid passport or identity card and a clear photo of the Account Holder. For a company account it is the company registration documents, proof of who may sign for the company, and identity documents for that person.

3.2 We may refuse to open an account, or ask for more information, if we cannot confirm who you are, or if we need to for legal, fraud prevention or anti-money-laundering reasons.

3.3 Once your account is approved and the Portal Agreement is signed by both sides, we create your login and send it to you. Your account is active from that date (the "Activation Date").

3.4 You must keep your login details secret, use a secure device, and tell us straight away if you think someone else has used your account. You are responsible for every booking made with your login.

4. Your portal balance

4.1 Your portal balance is money you load in advance to pay for bookings made through the portal or the app. It is held in US dollars.

4.2 Minimum balance. To use the portal you must keep at least the following amount in your portal balance (the "Minimum Balance"):

Individual account: USD 6,350

Company account: USD 13,000

4.3 You must load the Minimum Balance before your account is activated. If your balance falls below the Minimum Balance, you should top it up before making new bookings. We may pause new bookings until it is restored. We never charge a fee for a low balance.

4.4 How to top up. You can top up by bank transfer or by any other method shown in the portal. If you pay in another currency, the amount credited is what we receive in US dollars after conversion by the bank or payment provider. Bank and transfer charges on your side are paid by you.

4.5 No withdrawals while the account is open. The portal balance can only be used for bookings and related charges. You cannot withdraw it, transfer it to someone else, or have it paid out while your account is open. It is paid out only when your account is closed, under section 8.

4.6 The portal balance is not a bank account, deposit, savings or investment product. It earns no interest. We use it to pay airlines, hotels and other suppliers on your behalf when you book.

4.7 Refunds we receive from suppliers for your cancelled bookings are credited to your portal balance.

5. Making bookings

5.1 You can search, book and manage flights, hotels and other travel services on the desktop portal or in the Explorify app. Both show the same account, balance and bookings.

5.2 Each service is supplied by its airline, hotel or other supplier (the "Supplier"). The Supplier's fare rules, cancellation policy and conditions are shown with each offer before you book, and they apply to your booking.

5.3 A booking is confirmed only when the portal shows it as confirmed and, for flights, the ticket is issued. The price is taken from your portal balance at that moment. Prices can change until then.

5.4 You must check that every name matches the traveller's passport or identity card exactly, and that each traveller has the passport, visa and health documents needed for the trip. We are not responsible for costs caused by wrong names or missing documents.

5.5 If you hold a company account and book for your own customers, you must give each customer the Supplier's conditions and our Booking Terms before you confirm the booking.

6. Cancellations, changes and refunds

6.1 You can cancel or ask to change a booking on the desktop portal or in the app.

6.2 The cancellation and change rules shown at the time of booking apply. Some fares and rates cannot be refunded or changed at all.

6.3 Where a refund is due, we credit it to your portal balance once we receive it from the Supplier, and within the Supplier's own timelines. Supplier penalties and our service fees are not refundable.

6.4 Airlines may change flight times or routes. We pass on every notice we receive to the contact details on your account, and rebooking follows the airline's policy.

7. Commission

7.1 Account Holders earn commission on their own bookings, based on the total value of confirmed bookings in each calendar month (the "Monthly Bookings"). The rate depends on the Monthly Bookings and the type of account:

Individual account, less than USD 6,350: no commission

Individual account, USD 6,350 up to USD 12,699.99: 5%

Individual account, USD 12,700: 10%

Individual account, more than USD 12,700: 15%

Company account, USD 25,400 or less: no commission

Company account, more than USD 25,400: 15%

7.2 The rate that applies is set by the total Monthly Bookings for that month and applies to all bookings counted in it. If the Monthly Bookings are below the first level, no commission is earned for that month. No other charge applies.

7.3 Monthly Bookings count only bookings that are confirmed and, for flights, ticketed in that month. They do not include taxes, airport charges, Supplier penalties, our service fees, or bookings later cancelled or refunded.

7.4 We credit earned commission to your portal balance within 10 working days after the end of the month and show it in your account statement. If a booking is later cancelled or refunded, the commission on it is reversed from your balance.

7.5 Commission credited to your balance is part of the portal balance and follows section 4. You are responsible for declaring and paying any tax due on commission you earn.

8. Closing your account

8.1 You can ask to close your account at any time from the desktop portal or the app, or by email to [email protected].

8.2 Closing an account takes up to 45 working days from the date we receive your request. During that time we settle every open booking, Supplier refund and charge.

8.3 When closure is complete, we pay out the remaining portal balance to a bank account in the Account Holder's own name, after deducting:

the cost of bookings that are confirmed but not yet travelled, unless you cancel them under section 6;

any Supplier penalties, charges or refunds owed to Suppliers;

any other amount you owe us under this agreement; and

for company accounts, the closure fee in section 8.4.

8.4 Closure fee. A closure fee of USD 510 applies when a company account is closed at the Account Holder's request. It does not apply if we close the account without the Account Holder being at fault. No closure fee applies to individual accounts.

8.5 Individuals: 14-day right to cancel. If you hold an individual account, you may cancel your Portal Agreement within 14 days of signing it, without giving a reason. We will then refund your full balance, less the cost of any bookings already made, within 14 days and without a closure fee.

9. Deleting your account

9.1 You can ask us to delete your account and personal data from the desktop portal or from the app, in the account settings. Account deletion starts the closure process in section 8.

9.2 When closure is complete we delete your account and personal data, except records we must keep by law, such as booking, payment and accounting records. Our Portal and App Privacy Policy says what we keep and for how long.

10. The Explorify app

10.1 The Explorify app for iPhone (App Store) and Android (Google Play) gives you access to the same account, balance and bookings as the desktop portal. These terms apply to your use of the app.

10.2 The app is distributed on the App Store and Google Play under the developer account of Explorify sp. z o.o., a company in the Explorify group. Explorify sp. z o.o. is not a party to this agreement and has no obligations to you under it.

10.3 Apple and Google are not parties to this agreement and are not responsible for the app or our services. Their own store terms also apply to downloading the app.

10.4 If you turn on fingerprint or face login, the check is done by your phone. We never receive or store your fingerprint or face data.

10.5 Please keep the app updated. Older versions may stop working.

11. Using the portal properly

You must not:

use the portal or the app for anything other than lawful travel bookings;

copy, scrape, resell or redistribute content, prices or availability from the portal, by automated tools or otherwise;

share your login with anyone outside your account;

use our name, logo or trademarks without our written permission; or

give us false identity, traveller or payment information.

11.1 All rights in the portal, the app, the Explorify name and logo, and their content belong to Explorify or its licensors.

12. Suspension and closure by us

12.1 We may suspend your account straight away if we believe it is being used for fraud or misuse, if your identity information turns out to be false, or if you break these terms in a serious way.

12.2 We may close your account by giving you 30 days' notice. If we close it for serious breach, section 8 applies as if you had asked to close it. If we close it for any other reason, no closure fee applies.

13. Personal data and confidentiality

13.1 We handle personal data as described in our Portal and App Privacy Policy at www.byexplorify.com/portal-privacy.

13.2 If you hold a company account and give us your customers' data, you must have their consent or another legal basis to do so, and tell them that their data will be shared with us and the Suppliers.

13.3 Net prices, commission rates and the terms of your Portal Agreement are confidential. You must not share them outside your organisation.

14. Our responsibility to you

14.1 We act as booking agent for the Suppliers. We are not responsible for what Suppliers do or fail to do, including delays, cancellations, schedule changes and overbooking.

14.2 Our total liability for a booking is limited to the amount paid for that booking. We are not liable for indirect loss, or for loss of profit or business.

14.3 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any liability that the law does not allow to be limited. If you hold an individual account, nothing in these terms limits any right you have under the consumer law of the country where you live.

14.4 Neither side is responsible for failing to perform because of events beyond its reasonable control, such as war, natural disaster, epidemic, strikes or government action.

15. Changes to these terms

15.1 We may update these terms. We will email you at least 30 days before a change takes effect. If you do not agree, you may close your account before then without paying any closure fee.

15.2 A change to section 16 does not apply to a dispute you have already notified to us.

16. Governing law and disputes

16.1 Talk to us first. If you have a complaint or dispute, write to [email protected]. We will reply within 14 days and both sides will try in good faith to settle it within 30 days.

16.2 These terms are governed by the law of the State of New York, USA.

16.3 Company accounts: arbitration. Any dispute between Explorify and a company Account Holder that is not settled under section 16.1 will be finally settled by arbitration administered by the International Centre for Dispute Resolution of the American Arbitration Association under its International Arbitration Rules, or by the American Arbitration Association under its Commercial Arbitration Rules if the Account Holder is based in the United States. There will be one arbitrator. The seat of arbitration is New York, New York, and the language is English. Hearings may be held by video. Judgment on the award may be entered in any court with jurisdiction. Either side may still ask a court for urgent interim relief. Claims may be brought only individually, not as part of a class or group action.

16.4 Individual accounts. If you hold an individual account and live outside the United States, the choice of New York law does not take away any protection you have under the mandatory law of the country where you live. You may bring a claim in the courts of that country, and we may bring a claim against you only there. We do not ask individuals to agree to arbitration in advance. After a dispute has arisen, you and we may agree in writing to arbitration or mediation.

16.5 Consumers in the EU may also contact their national consumer protection body or the European Consumer Centre in their country.

17. General

17.1 You may not transfer your account or this agreement to anyone else without our written consent. We may transfer it to another company in the Explorify group or to a buyer of our business, and will tell you if we do.

17.2 If any part of these terms is found invalid, the rest stays in force.

17.3 These terms are written in English. If they are translated, the English text applies.
